1. Acceptance of Terms

By accessing or using Sprout (the “Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Who We Are

3. Eligibility & Account

• You must be a U.S. resident, 18 years or older.
• Account creation is required to use the Service; you may delete your account via the app or by emailing support.
• Your account credentials are for your sole use; do not share or transfer them.

4. Subscription Plans & Refunds

• We offer a free tier, plus paid monthly and annual subscriptions.
• Refunds may be requested by contacting support; we grant refunds at our discretion.

5. Use of the Service

• Sprout is a financial planning tool; it offers AI-generated budgeting suggestions and advice.
• You may use Sprout offline, but some features (bank syncing, analytics) require an internet connection.
• You may not upload or store any personal content (notes, photos, receipts) except via features we explicitly enable.

6. Prohibited Conduct

• No scraping, data mining, or reverse engineering of the Service or APIs.
• No fraudulent or abusive behavior, including unauthorized account access.
• No use that violates applicable laws or third-party rights.

7. Disclaimers & Limitation of Liability

Sprout provides budgeting tools and AI-powered suggestions as a convenience. We do not guarantee accuracy of projections, nor are we responsible for missed payments, investment decisions, or any financial losses incurred from using the Service. Use at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPR OUT’S TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE PRIOR TWELVE MONTHS.

8. Termination & Suspension

We may suspend or terminate your access for violations of these terms, fraudulent activity, or legal requirements. Upon termination, your right to use the Service ends immediately.

9. Dispute Resolution

Any disputes will be resolved by binding arbitration in Maryland under the rules of the American Arbitration Association, except where prohibited by law. You and Sprout waive any right to jury trial.

10. Modifications

We may update these Terms at any time. We’ll notify you via email and in-app notice before material changes take effect.

11. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law rules.
